The Shareholders of Slovnaft will be paid a dividend of EUR 2.00 per share
Based on the today’s decision of the Ordinary General Meeting of SLOVNAFT, a.s., company, the company will pay dividends to its shareholders from the undistributed profit from previous years which is amounted to EUR 2.00 per share.
Any natural or legal person who was registered as a shareholder of SLOVNAFT, a.s. company, in the Central Securities Depository of the Slovak Republic a.s. (CSD) by April 26, 2013, or who has opened a shareholder account pursuant to § 105a of the Act. 566/2001 Coll. on the Securities Act, as amended, is entitled to be paid the dividends. The dividend is due not later than 60 days after the date of designating a person who is entitled to exert the right to a dividend, which is April 26, 2013. In case a shareholder does not exert his right to receive dividends as described in this policy up to the due date, the unpaid dividends will be deposited on the account of SLOVNAFT, a.s., company for the period of 4 years.
The shareholders today discussed the annual report of the company SLOVNAFT, a.s., and approved the individual and consolidated financial statements of the company SLOVNAFT, a.s., for the year 2012, as well as the individual consolidated statements of Slovnaft Petrochemicals, s.r.o., company. Slovnaft Petrochemicals, s.r.o., merged with SLOVNAFT, a.s., with effect from January 1, 2013.
Based on the decision of the Ordinary General Assembly, Ábel Galácz, Miika Eerola and Timea Reicher were elected as members of the Board of Directors. They will replace Peter Chmurčiak, Ileana-Sorina Baltatu and Béla Kelemen in the Board of Directors. Richard Austen and László Pálfalvi were elected as members of the Supervisory Board, they will replace László Szabó and Krisztína Dorogházi.
The Ordinary General Meeting decided to modify the regulations of the company. The amendments are primarily related to the expansion of the company’s business scope and competencies of the Board of Directors and the decision making process of the Supervisory Board.
The Majority shareholder of Slovnaft company is the international oil and gas company MOL with 98.4 per cent share, the other shareholders hold 1.6 per cent of shares.
